Partnership Firm to LLP Conversion

Most businesses in India start as partnership firms. They are simple to form, flexible to run, and need minimal compliance. But the partnership structure comes with one serious drawback - unlimited personal liability. Every partner is personally responsible for the debts and obligations of the firm, including with their own assets.
Converting to a Limited Liability Partnership (LLP) solves this. The business structure stays the same, the partners remain the same, and the operations do not change - but each partner’s liability is now limited to their agreed contribution in the LLP.
The LLP Act, 2008 provides a direct conversion route from a registered partnership firm to an LLP. No dissolution, no fresh start - just a legal upgrade.
Eligibility Conditions
- All partners of the firm must become designated partners or partners of the LLP - no external partners can be introduced at the time of conversion
- All partners must consent to the conversion
- The LLP must have at least 2 designated partners, both of whom must be individuals and at least one must be a resident of India
Step-by-Step Conversion Process
What Happens After Conversion?
Upon successful conversion, all property, assets, interests, rights, privileges, liabilities, and obligations of the partnership firm vest automatically in the LLP. The firm stands dissolved and ceases to exist as a separate entity. The conversion process typically takes 3 to 5 weeks from the date of filing, subject to ROC processing time. Document preparation and obtaining DSCs may take an additional 1 week.
